RedPrairie Has a Good History

To really understand the strength of RedPrairie, one must learn it’s history, which is quite revealing and shows some bold steps for a software company. Acquisitions such as Weseley and Gagnon were excellent strategic moves, as was the recent acquisition of LIS.

History of RedPrairie as a Company

Date Major Milestone or Event
1975 Company Founded as McHugh Freeman & Associates, a consulting and software development company.
1989 McHugh Freeman became part of Pinnacle Automation.
1/1996 McHugh expands its software offerings to include Advanced TMS. McHugh Freeman acquired Weseley Software (TMS), the developer of one of the industry’s most advanced transportation management and optimization solutions.
8/1997 McHugh Software International, Inc. is new name of the company. McHugh Freeman and Weseley consolidated into this new single entity.
4/1998 McHugh Software International acquired Software Architects (WMS) Inc. (SAI). SAI had developed a WMS for the Hi Tech and 3PL industries
5/1998 McHugh expands its software offerings to include Labor Management System (LMS), AKA Engineered Labor Standards. McHugh Software International acquired Gagnon & Associates (LMS). Gagnon is a recognized leader in warehouse labor productivity solutions (Engineered Labor Stds).
10/1998 McHugh Software International is spun off from Pinnacle Automation.
5/22/2002 McHugh Software International changed its name to RedPrairie Corporation.
11/25/2002 RedPrairie announces it is debt-free on long-term debt.
2/11/2004 RedPrairie acquires LIS, a European based SCE software company. This is very significant as it instantly grows the customer base and provides an established & strong presence in Europe. The combined companies will operate under the RedPrairie name with projected 2004 revenues of US$130 million and earnings before interest, taxes, depreciation and amortization (EBITDA) of US$23 million. The company employs over 600 associates from offices in the United States, United Kingdom, mainland Europe and China. RedPrairie solutions are also offered by partners in eleven countries, including Latin America, Russia and South Africa.

In the history above, in the 80's the company is doing material handling equpiment interfacing to it's warehousing software. This shows much experience in high volume DC's. In addition - we have also highlighted in RED that RedPrairie announced it was debt free on 11/25/2002. This is very, very, very important for a software company. Profit margins are high enough, where if the software company is well managed – debt level will show it – by having ZERO long-term debt or a small debt load – E.G., 15% or less. Again, we say “good job” Red Prairie!

RedPrairie’s latest move to acquire LIS is very good! A few years back, ARC announced that the major future growth of WMS systems would be outside of North America. One way to break into the European market with a large presence is to acquire LIS. In our opinion, this is a very good strategic maneuver, compared to opening offices and trying to penetrate the European culture AND the strong, existing WMS competition.
